These Terms and Conditions (“Terms”) form a legally binding agreement between Lacrity Limited (“Lacrity,” “we,” “us,” or “our”) and you (“you” or “User”) governing your access to and use of www.lacrity.io and any products, services, content, or applications we make available (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
By using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any policies referenced herein, including our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms.
You must be at least the age of majority in your jurisdiction (18 in Kenya) to use the Services. You may use the Services only in compliance with applicable laws, rules, and regulations.
Lacrity offers technology, advisory, and educational services related to digital infrastructure and AI-enabled tools. Unless expressly stated in a written agreement, the Services do not constitute legal, tax, investment, or financial advice, nor an offer to sell or solicit the purchase of securities or regulated financial products.
We may request information to verify your identity and comply with anti-money laundering, counter-terrorist financing, and sanctions obligations. We may suspend or terminate access where required by law or where information provided is inaccurate or incomplete.

The Services, including all software, content, designs, logos, and trademarks, are owned by Lacrity or its licensors and are protected by applicable laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Services.
By submitting content to the Services, you grant Lacrity a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, and display such content for the purpose of operating and improving the Services. You represent that you have all necessary rights to grant this license and that your content does not infringe any third-party rights.
Non-public information disclosed by either party that is marked or reasonably understood to be confidential shall be kept confidential and used only for the purpose of the Services, except as required by law.
The Services may reference or integrate with third-party services. Lacrity is not responsible for third-party content, terms, or privacy practices. Your use of third-party services is at your own risk and subject to those third parties’ terms.
The Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, Lacrity disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.
To the maximum extent permitted by law, Lacrity and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Services. Our aggregate liability for all claims relating to the Services shall not exceed the greater of (a) the amounts you paid to Lacrity for the Services in the twelve (12) months preceding the claim, or (b) USD 100.
You agree to indemnify and hold harmless Lacrity and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.
We may suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services will immediately cease, but the following sections will survive: Intellectual Property, Confidentiality, Warranties & Disclaimers, Limitation of Liability, Indemnification, and Miscellaneous.
These Terms are governed by the laws of the Republic of Kenya, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts located in Nairobi, Kenya. Before filing suit, the parties will first attempt in good faith to resolve disputes through negotiation for at least thirty (30) days.
The Services are controlled from Kenya and may not be appropriate or available in all jurisdictions. You are responsible for compliance with local laws, including data protection, consumer, and financial regulations.
We may modify the Services or these Terms at any time. We will post updates with a new “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
